Terms of Use

These Terms of Use (“Terms”) govern your access to and use of ThoughtAmp, a platform operated by Diversify Core, LLC (“ThoughtAmp,” “we,” “us,” or “our”). By accessing or using ThoughtAmp, you agree to these Terms. If you access ThoughtAmp on behalf of an educational institution, you represent that you are authorized to do so, and the institution accepts these Terms and any applicable institutional addenda or data protection agreements (“Institutional Agreement”).

1. Eligibility and Accounts

  • You must be an authorized student, instructor, or staff member to use ThoughtAmp.
  • You are responsible for maintaining the confidentiality of your credentials and for activity under your account.
  • Use by minors is permitted only under the supervision and authorization of their institution and consistent with applicable law.

2. Permitted Use

  • Use ThoughtAmp solely for educational and instructional purposes related to your courses and role.
  • Do not access, export, or view data for users or classes you are not authorized to access.
  • Do not interfere with, disrupt, probe, or reverse engineer ThoughtAmp or its security features.
  • Do not upload or generate unlawful, infringing, harassing, or harmful content, or high-risk data (e.g., payment card data, PHI).

3. Instructor and Institutional Visibility

Instructors and authorized institutional staff may view student–AI conversations and related usage for the courses they teach or administer, consistent with institutional policy and applicable law. Access is limited to relevant courses and participants.

4. Privacy and Student Records

Your use of ThoughtAmp is governed by our Privacy Policy. In summary: we practice data minimization. As personally identifiable information (PII), we retain only the user’s email address for authentication and enrollment mapping. Conversation content and usage data are treated as educational records controlled by the institution. We do not sell personal information and we do not transmit student emails or names to AI providers.

5. User Content and License to Diversify Core, LLC

You and/or your institution retain ownership of your content (including chats and prompts). To operate ThoughtAmp, you grant Diversify Core, LLC a non-exclusive, worldwide, royalty-free license to host, process, transmit, display, and create derivative works of your content solely to: (a) provide, maintain, secure, and improve the service; (b) comply with law and enforce policies; and (c) generate de-identified or aggregateddata for research, analytics, and commercial use. We will not use identifiable student content for advertising or unrelated marketing.

Institutional Control; FERPA

When used by an institution, Diversify Core, LLC acts as a “school official” with a legitimate educational interest, subject to institutional control via an Institutional Agreement. Institutions determine data retention, access, and deletion schedules, and may request exports or deletion at any time consistent with law and contract.

6. Feedback

If you provide comments or suggestions, you grant us a perpetual, irrevocable, worldwide, royalty-free right to use them without restriction or obligation.

7. Service Changes and Availability

We may modify, suspend, or discontinue features at any time. We strive for high availability but do not guarantee uninterrupted service.

8. No Professional Advice

ThoughtAmp is an educational tool. AI-generated content may be inaccurate or incomplete and should be reviewed by instructors. It is not professional advice.

9. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OF AI OUTPUTS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DIVERSIFY CORE, LLC AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, OR REVENUE, ARISING FROM OR RELATED TO YOUR USE OF THOUGHTAMP, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ANY CLAIMS WILL NOT EXCEED THE GREATER OF (A) US$100 OR (B) THE AMOUNT YOU PAID FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless Diversify Core, LLC and its affiliates from any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising from your misuse of ThoughtAmp, your content, or your violation of these Terms.

12. Governing Law; Venue

These Terms are governed by the laws of the State of Connecticut, without regard to conflicts principles. You agree to the exclusive jurisdiction and venue of the state and federal courts located in Connecticut for disputes arising out of or relating to these Terms or ThoughtAmp, except that either party may seek injunctive relief in any court of competent jurisdiction.

13. Institutional Agreement Controls

If ThoughtAmp is provided under an Institutional Agreement (e.g., DPA, FERPA addendum, LTI/SSO terms), that agreement controls in the event of a conflict with these Terms. We can provide a data protection agreement upon request.

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be posted on the site. Your continued use of ThoughtAmp after changes take effect constitutes acceptance of the revised Terms.
